We are thrilled that you have chosen Ferguson for your project needs. This is one of a number of websites owned and maintained by Ferguson Enterprises, LLC or its subsidiaries (collectively, referred to here as “Ferguson Site(s)”), which we provide as a service to our customers to purchase our products.  Ferguson subsidiaries have chosen as a corporate matter to adopt these Terms of Sale.  Where you are purchasing from a Ferguson subsidiary, all references herein to Ferguson shall mean the respective subsidiary. Any purchases made by you through any Ferguson Site constitutes your unconditional agreement to follow and be bound by these Terms of Sale.  These Terms of Sale, together with the Ferguson Terms of Use, and any other policies, rules and provisions linked or otherwise referred to herein, including, without limitation, our Privacy Policy, constitutes the entire agreement between you (“you” or “your”) and Ferguson Enterprises, LLC, or the respective subsidiary (“Ferguson,” “we,” “us,” or “our”), superseding any and all prior or inconsistent understandings, representations or agreements regarding your purchase(s) through a Ferguson Site. 

We reserve the right to update or modify these Terms of Sale at any time without prior notice. Your purchase from a Ferguson Site following any such change constitutes your unconditional agreement to follow and be bound by the Terms of Sale as changed. For this reason, we encourage you to review these Terms of Sale prior to making any purchase.   

Shipping 

Due to the variety of products we sell, shipping types and costs may vary.  Please check the applicable Ferguson Site to find shipping information for specific products.  We understand that getting your items in a timely manner is important.  We make commercially reasonable efforts to ship your purchases to you as quickly as we are able.  However, situations may arise that we cannot control, and which may affect shipping times.  Ferguson has no responsibility for delays in shipping caused by a force majeure event including, but not limited to, acts of God, war, labor disputes, civil unrest, changes in the law affecting the import or export of goods, accidents, pandemics, the inability to obtain materials or goods, delays of carriers, contractors or suppliers, or any other causes beyond our control.  If you cause or request a delay of shipment, or if Ferguson ships or delivers an order erroneously as a result of inaccurate, incomplete, false or misleading information supplied by you, Ferguson reserves the right to charge any additional shipping and/or storage costs to you.  

Shipping Destinations and Delivery Restrictions 

Generally, Ferguson is able to ship to most addresses (excluding PO boxes) within the United States and Canada, subject to some restrictions.  Some states may have delivery restrictions, which are noted on the specific product page or on the applicable Ferguson Site.  In addition, certain shipping types may not be available to particular states, such as Alaska, or address types (e.g. APO/FPO addresses).  For our international customers, we may be able to fulfill orders on certain products to international freight forwarding service providers.  You will be responsible for selecting and providing your own freight forwarding service provider with a delivery address within the contiguous United States.  Please see the applicable Ferguson Site for further information on shipping restrictions and options for international customers, if any. 

Due to variances in tax laws from state to state, once an order has been placed, we are not able to alter the shipping address. Please make sure that all of your shipping information is correct before placing your order.  Ferguson reserves the right to cancel your order if we have reason to believe you have provided a false address in an attempt to evade state sales tax. 

Backordered Products 

Occasionally, an item is out of stock and is on backorder.  We will endeavor to notify you promptly if an item is on backorder, and provide available options, which may include cancellation, selection of alternate products, or shipping the backordered product once it becomes available. 

You may still be able to place orders for backordered items, if desired, in order to reserve the item with the manufacturer.  Please note that you will be charged for the items in accordance with our payment policy, as you would for any other item that is not on backorder.   

Cancellations and Returns 

Cancellations 

Since we do everything we can to ship your order as soon as possible, there is a very short period of time in which an order can be cancelled or modified.  Once an order has shipped, or in the case of special order items, once the order has been placed with the manufacturer, it can no longer be canceled.  To cancel or change an order, please contact the customer service team for the applicable Ferguson Site.  Some Ferguson sites may allow you to cancel an order by logging into your account and selecting cancel, if available.  Otherwise you may contact the customer service team, as above. 

Returns 

Each Ferguson Site may have its own return policy, which applies to any purchases made through the applicable Ferguson Site.  Please note that some products are not eligible for return, or may require an authorization before they can be returned.  PLEASE CHECK THE APPLICABLE FERGUSON SITE FIRST, TO FIND THE RETURN POLICY AND ANY APPLICABLE REQUIREMENTS.  If no return policy is provided, then you may return any items within 90 days of purchase.  All returns are subject to the following restrictions, regardless of which Ferguson Site was used to purchase the items: (i) the goods are not customized, non-stock, specialty or built-to-order goods; (ii) the goods are in new condition, suitable for resale, in undamaged original packaging and with all original parts; and (iii) the goods have not been used, assembled, installed, modified, gassed or oiled, rebuilt, reconditioned, repaired, altered, or damaged.  If the goods are returned and do not meet these requirements, we reserve the right to reject the return, or to deduct additional fees from your refund.   Returns may be subject to a re-stocking fee, or shipping fees, which will be deducted from any refund.  We may accept the return of some special orders or non-stock goods at our discretion, and if the manufacturer is willing to accept the return.  Any restocking or cancellation fees charged to Ferguson by the manufacturer may be deducted from your refund.  Clearance; liquidation or close-out items; furniture; and international shipments (except Canada) or orders delivered to international freight forwarders, if applicable, are not returnable. 

Defective or Damaged Goods 

Each Ferguson Site may have its own requirements for the return of defective or damaged goods, which applies to any purchases made through such Ferguson Site.  Please note that each product may be subject to different notice requirements for defective or damaged goods, which are imposed by the product manufacturer.  PLEASE CHECK THE FERGUSON SITE WHERE YOU MADE YOUR PURCHASE, TO FIND THE APPLICABLE REQUIREMENTS FOR RETURNING DAMAGED OR DEFECTIVE GOODS.   

You may be able to return damaged or defective items for a refund or replacement, provided that you follow the return policy on the Ferguson Site where you made your purchase.  In addition, one of the following must apply: (i) the item has a defect that hinders its usability for the purpose for which it was designed; (ii) the incorrect item was received, or the item is missing parts; or (iii) the item was damaged in transit.  Please note that not all items are eligible for return, as outlined in the Returns section above, and some defective items may only be eligible for repair or replacement at the manufacturer’s discretion. 

You must inspect all goods upon delivery.  If there is obvious damage, do not sign for or take possession of the item.  Immediately contact our customer service team, which can be found on the applicable Ferguson Site where you made your purchase, so we can help you process a claim with the carrier and arrange for a replacement.  If you accept delivery, but notice damage during unpacking, you must provide pictures of the damaged box and/or product.  For all damaged products you must contact us within 48 hours of receipt, as carriers only allow 2 business days to file a freight claim.  Otherwise, you may be responsible for filing a freight claim, or arranging return or repair of the goods. 

Order Status

Pricing and Payment   

For your convenience, you will be charged upon placing your order through the Ferguson Site, and your order will be shipped in accordance with the Shipping Policy provided on the applicable Ferguson Site.  If your order is unable to ship within 24 hours, we will hold your funds as a deposit on the goods until the product ships.  We accept all major credit cards.  Other forms of payment may be available on each Ferguson Site.  For any payments made by check, please note there is a $50 returned check fee. 

Unfortunately, we do not offer any additional discounts beyond any then-current deals or other specials, which are publicized on the applicable Ferguson Site.  All taxes, transportation costs, duties and other charges are in addition to listed prices. Where possible, the amount of any sales, excise or other taxes applicable to your purchase will be added to the purchase price at checkout.  Please note that in the case of international purchases, you will be responsible for all customs duties, which may be charged at the time of purchase, or at a later time if they cannot be calculated at the time of purchase.  If you believe there has been a billing error, you must notify us in writing at [CONTACT] within ten (10) business days from the date you are charged. Claims not received in writing within such time period are hereby waived. 

Pricing Information 

While the Ferguson Sites strive to provide accurate product and pricing information, pricing or typographical errors may occur. The Ferguson Sites cannot confirm the price of any item until after you order.  In the event an item is listed at an incorrect price or with incorrect information due to an error in pricing or product information, the Ferguson Sites shall have the right, at our sole discretion, to either contact you for instructions or cancel your order and notify you of such cancellation. Prices and availability are subject to change without notice. 

Order Acceptance 

We reserve the right, in our sole discretion, to refuse or cancel any order for any reason.  Some situations that may result in your order being canceled include limitations on quantities available for purchase, inaccuracies or errors in product or pricing information, or problems identified by our credit and fraud avoidance department. We may also require additional verifications or information before accepting any order. We will contact you if all or any portion of your order is canceled, or if additional information is required to accept your order. If your order is canceled after payment is received, we will issue a full refund to the payment method used for the purchase. 

Quotes 

If Quotes are provided by an authorized representative of Ferguson, the prices stated therein are valid through the expiration date of the quote; provided that purchases are made through the authorized Ferguson representative. However, pricing is subject to change without notice in the event of a change in specifications, quantity, designs, or delivery schedules requested by you; or due to  changes in the cost of materials, supplies, labor, clerical error, or foreign or domestic legislation impacting the supply chain or the import/export of goods.  Quoted prices, and prices listed on a Ferguson Site may differ based on discounts or other promotional pricing that may be offered by authorized Ferguson representatives.  For purchases made on a Ferguson Site, the pricing listed on the applicable site shall apply. 

Quantity Limits 

We reserve the right to limit the quantity of items purchased per person, per household or per order. We will notify you in the event such limits are applied.  We also reserve the right to prohibit sales to dealers. If you are interested in purchasing items for a corporation or institution, please contact our Sales Team.  Any promotions, special buys, open box items, or dealer seconds, if available through a Ferguson site, are only valid while supplies last.  In the event these special items are "oversold," a full refund will be issued.  

Tax Exempt Purchases 

Tax exemption means you do not have to pay sales tax on products used for an authorized organization, such as government institutions, churches, and non-profit organizations.  To determine whether your organization is tax-exempt, you must contact your state or local taxing authority. If approved, you will be issued tax-exempt documentation that verifies your status.  To make a tax-exempt purchase, please contact the customer service team, which can be found on the Ferguson Site for the specific product you wish to purchase. 

Product Descriptions 

The Ferguson Sites attempt to be as accurate as possible. However, Ferguson does not warrant that product descriptions or other content on any Ferguson Site is accurate, complete, reliable, current, or error-free.  

The Ferguson Sites have also made an effort to display as accurately as possible, the colors and finishes of products that appear on the Ferguson Sites. However, the actual colors you see will depend on your monitor.  Therefore, we cannot guarantee that your monitor's display of any color or finish will be accurate.  If a product you purchase from us is not as described, or you are dissatisfied with the color and finish upon receipt, you may return it as your sole and exclusive remedy, subject to our Return Policy.  Please note that some items are not eligible for return, so please review carefully before making your purchase. 

Financing 

Financing may be available for certain products, through Ferguson or a third-party affiliate, or for purchases made in-person at a Ferguson location. Please check the specific product page, or contact your closest Ferguson location for any financing information.  

Warranties 

Ferguson sells a wide variety of products, and each product may have differing warranties, as provided by the manufacturer.  For specific warranty information, please check the applicable product page. Extended warranties may also be available for purchases made in person at a Ferguson location.  Contact your closest Ferguson location for additional information on warranties for purchases made in person.  If you have a warranty inquiry on any item you purchased through a Ferguson Site, we can provide additional information and assist you in contacting the manufacturer directly. Unless stated otherwise, YOUR SOLE AND EXCLUSIVE WARRANTY IS THAT PROVIDED BY THE PRODUCT’S MANUFACTURER. FERGUSON HEREBY DISCLAIMS ALL EXPRESSED OR IMPLIED WARRANTIES, WHETHER IMPLIED BY OPERATION OF LAW OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS OR FITNESS FOR A PARTICULAR PURPOSE. UNDER NO CIRCUMSTANCES, AND IN NO EVENT, WILL FERGUSON BE LIABLE FOR PERSONAL INJURY OR PROPERTY DAMAGE OR ANY OTHER LOSS, DAMAGE, COST OF REPAIRS OR INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES RELATED TO THE PRODUCTS PROVIDED. 

Installation 

Installation may be available for certain products. Additional information can be found on the specific product page, or the applicable Ferguson Site. If installation is provided, for a period of one (1) year, Ferguson warrants that all installation services provided by Ferguson will be done in a professional and workmanlike manner in accordance with the manufacturer’s installation instructions and local code requirements.  If we receive notice from you that installation services were not performed in accordance with the limited warranty herein, Ferguson shall re-perform the services to your satisfaction. The foregoing warranty shall not apply if there is evidence of abuse or misuse by you or any third party. 

Gift Cards 

Gift cards may be available on certain Ferguson Sites, please see the applicable site for more information. 

Compliance with Export Control Laws 

Buyer warrants that it is not subject to U.S., EU, or UN sanctions, including, but not limited to, being identified on the U.S. Specially Designated Nationals (SDN) List, or more than 50 percent owned by an SDN. Buyer further acknowledges that Goods are subject to U.S. export control laws and regulations and cannot be exported, reexported, or transferred except in compliance with such laws and regulations. If Seller delivers Goods to Buyer within the United States, Buyer expressly assumes any and all duties and liability associated with subsequent export of the Goods, including but not limited to determining export licensing requirements, obtaining all required authorizations, and submitting Electronic Export Information, if required. In such case, Seller shall not be named as the Exporter of Record with respect to the Goods.
